1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the Alice Auto Care website located at aliceautocare.com and its related services, including the delivery of text message alerts and other communications (collectively, the "Services"). Alice Auto Care is a privately operated business and is not affiliated with, endorsed by or sponsored by any automobile manufacturer, insurance company or government agency. By accessing or using the Services, you agree to these Terms and any additional policies or guidelines referenced herein, including our Privacy Policy. If you do not agree to these Terms, please do not use the Services.
2. Changes to the Terms
Alice Auto Care may modify these Terms at any time. If we make material changes, we will post the updated Terms on the website and indicate the date of the latest revision. Your continued use of the Services after the effective date of any updated Terms constitutes acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Services.
3. Description of the Services
Alice Auto Care provides informational content about automobile ownership, car care, maintenance, insurance savings, safety recalls, error codes, class-action lawsuits, and related topics, and offers a text message alert program that delivers recurring automated marketing and informational text messages about these subjects. The content is provided for general informational purposes only and should not be considered legal, financial, mechanical or professional advice. You should consult your own advisors before acting on any information obtained through the Services. The Services may include links to or information about third-party programs, products or services. Alice Auto Care does not guarantee that any information, tip or recommendation will produce a specific outcome for you.
4. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) and reside in the United States to use the Services. By registering or providing your information to Alice Auto Care, you represent and warrant that you meet these eligibility requirements and that you have the authority to enter into a binding agreement with us.
5. Registration and Account Responsibilities
To sign up for our text message alerts or access certain features, you may be required to provide personal information, such as your name, phone number, email address or other information. You agree to provide accurate and complete information and to update your information as necessary to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect that your account credentials have been compromised, please contact us immediately.
6. License and Permitted Uses
Subject to your compliance with these Terms, Alice Auto Care grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. Except as expressly authorized in these Terms, you may not (a) copy, reproduce, modify, distribute, sell or lease any part of the Services; (b) reverse engineer or attempt to discover the source code or underlying ideas or algorithms of any part of the Services; (c) use any device, software, script, robot or other means to access, scrape or extract data from the Services; (d) use the Services in any way that causes harm to us or others or interferes with the proper functioning of the Services; or (e) circumvent any security or access control measures.
7. Proprietary Rights
The Services and all content, text, graphics, logos, software and other materials contained within the Services are owned by Alice Auto Care or our licensors and are protected by copyright, trademark and other intellectual-property laws. Except for the limited license granted above, Alice Auto Care and its licensors reserve all rights, title and interest in and to the Services. The Alice Auto Care name and logos are trademarks of Alice Auto Care and may not be used without our prior written permission.
8. Third-Party Content and Links
The Services may provide links to third-party websites, products or services that are not owned or controlled by Alice Auto Care. We provide these links for your convenience but do not endorse or assume any responsibility for the content, practices or policies of third parties. Your interactions with third-party websites and services are governed by their own terms and policies, and you access such third-party websites and services at your own risk.
9. Mobile Messaging Program Terms
a. Program Description — Alice Auto Care offers a text messaging program (the "Alice Auto Care Alerts Program") that provides recurring automated marketing and informational text messages about car care tips, insurance savings, recall alerts, error code explanations, class-action lawsuit updates and related content. When you opt in to the program, you expressly consent to receive recurring automated marketing and informational text messages, including messages sent using an automatic telephone dialing system. Your consent to receive messages is not a condition of any purchase.
b. Opt-In Methods — You may enroll in the Alice Auto Care Alerts Program by providing your mobile number through an online form on our website or by responding affirmatively to a text message invitation. Where required by carriers, you may be asked to confirm your subscription by replying YES or another designated keyword. When you submit your phone number, you represent that you are the subscriber of the mobile service or have the subscriber's authorization to enroll that number. Consent is not a condition of purchase. By opting in, you agree to these Terms and our Privacy Policy.
c. Message Frequency — Message frequency varies. You may receive several messages per month depending on your interaction with the Services. We reserve the right to change the frequency of messages or send additional messages as necessary for service or transactional purposes.
d. Charges and Carrier Notice — Message and data rates may apply. You are responsible for any charges billed by your wireless carrier for sending or receiving SMS or MMS messages. Participating carriers include the major U.S. wireless carriers, but our program may not be available on all carriers. Carriers are not liable for delayed or undelivered messages.
e. Opt-Out Instructions — You may opt out at any time by texting STOP to the short code or reply number from which you receive our messages. Upon receiving your opt-out request, we will send you a confirmation message that you have been unsubscribed, and you will no longer receive messages from us. If you have enrolled in multiple programs, you must opt out separately from each program.
f. Help Instructions — For support regarding the messaging program, text HELP to the short code or reply number. You may also contact us through aliceautocare.com.
g. Age and User Obligations — By enrolling in the Alice Auto Care Alerts Program, you confirm that you are at least 18 years old and that you have the authority to consent to receive messages on the mobile number provided. If you change or deactivate your mobile number, you agree to update your account to prevent us from inadvertently sending messages to someone else.
10. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ALICE AUTO CARE DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY INFORMATION PROVIDED IS ACCURATE OR COMPLETE. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALICE AUTO CARE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; OR (D) ANY OTHER MATTER RELATING TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO US, IF ANY, DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify and hold harmless Alice Auto Care and its affiliates, directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Services or your violation of these Terms.
13. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY; IT AFFECTS YOUR LEGAL RIGHTS. You and Alice Auto Care agree that any dispute, claim or controversy arising out of or relating to these Terms or the Services will be resolved exclusively by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of a party's intellectual-property rights. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitrator has the sole authority to resolve any dispute relating to the interpretation, applicability or enforceability of this arbitration agreement. YOU AND ALICE AUTO CARE WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
You may decline this arbitration agreement by contacting us through aliceautocare.com within 30 days of accepting these Terms with your statement to opt out of arbitration and your full name. If you opt out, neither you nor Alice Auto Care will be required to arbitrate disputes, but you will be bound by any other part of these Terms.
14. Termination
Alice Auto Care may suspend or terminate your access to the Services at any time and for any reason, including if we believe you have violated these Terms. Upon termination, all provisions of these Terms that by their nature should survive termination will survive, including intellectual-property rights, warranty and liability limitations, and dispute resolution provisions.
15. Miscellaneous
These Terms constitute the entire agreement between you and Alice Auto Care with respect to the Services and supersede any prior agreements. If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed to the minimum extent necessary and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver. You may not assign or transfer these Terms without our prior written consent. Alice Auto Care may freely assign these Terms without restriction. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
